場景是2004年初湖南長沙，中天行房車俱樂部風光成立，大舉招募會員，凡繳納人民幣5萬元即發給至尊卡，每年可享受30天旅行房車使用權，也可將權利委 託經營，每年坐享固定收益。2005年8月，該俱樂部獲頒長沙市「守合同重信用單位」及「湖南最受尊敬的非公有企業」，不過諷刺的是，一個月後公司歇業、 負責人被捕，原因是非法募集資金，而且鉅額款項流向不明。
2007年末的台灣，在佳姿案發生後不到二年，亞力山大健身俱樂部無預警歇業，會員驚恐，消基會出面要求銀行止付後期款項，已付者亦要求退 回，銀行業認係無妄之災，不願捲入消費糾紛；消基會又醞釀提出團體訴訟，惟都著眼於當下的問題，對整體機制或未來如何防止，則未見討論。相對於2007年 8月美國健身俱樂部巨擘Bally Total Fitness因股價遽跌、淨值負3.7億美元，進行破產保護程序，兩個月後即有私募基金接手而告平息，台灣消費者不禁自嘆命苦。
俱樂部的經驗似乎不樂，其實各種俱樂部會員卡的意涵並不一致。中天行房車俱樂部的至尊卡，應該是Timeshare的契約，而亞力山大會員卡則是預收款項的憑證，其處理的方式也因而不同。
其實不論何種Club，外觀上均向大眾收取一定款項後發給憑證，而承諾未來提供服務、貨品甚或利潤，表面上似乎是一種有價證券的發行。按我國證券交易法第6條對有價證券係採簡要的列舉方式，主要係指公債、股票、公司債及主管機關核定的其他證券。換言之，只要未列舉又未核定，就不是我國法規上的有價證券。相 對美國證券法第2.a.1條，列舉就極其瑣細，超過30種，從而較易領會有價證券的通性。其中值得我國注意的是所謂投資契約（investment contract），過去在我國實務上曾出現就特定不動產、商場、旅館發售憑證或持分，並委託發起人經營，藉以分享利益，事後其經驗甚不愉快。
在某一案的訴訟中，法院曾個案認定「與一般認股行為所繳之股金無異」，故其發行係違反證券交易法；之後於民國76年財政部亦曾就僑外「在台 募集資金赴外投資所訂立之投資契約」，認係有價證券。惟就「投資契約」迄未有通案的核定，故如有俱樂部以投資契約的方式，發行會員卡，尚不能以發行有價證 券進行監理，仍須藉個案進行認定。
至於亞力山大俱樂部的案件，由網站上的資料，似乎各地分公司或分部的規定，不完全相同，甚至因業務人員不同又有差異。有「一年特惠價 16,000元，惟須月繳清潔費2,000元」、亦有「一年會籍4萬元、二年8萬元並贈送一年VIP」、 甚至有較平價的「五年45,000元、月費1,000元」等等。不過綜合言之，均不脫預收款項的性質，所發雖係會員卡，其實是一種禮券，而且是限特定人使 用的禮券。我國對禮券的管理，並未正視商業信用的本質，在糾紛叢生之後，引用消費者保護法第17條，由各部會分別針對其主管事業公告「禮券定型化契約應記 載或不得記載事項」，其最重要一招係要求記載該禮券業經銀行保證，或經同業同級公司連保，或已辦理信託，或由同業公會籌辦連保等。並自2007年4月1日 起實施，事實上上述措施有執行之困難（見本人2007年4月10日「大S與小S的主管機關」一文），在推出前即已預見。
運動俱樂部的會員卡因未採用禮券的名稱，主管機關體委會是否會針對預收款項發行的會員卡，視同禮券予以管理，媒 體報導語焉不詳（有雜誌報導體委會對年費5萬元以下傾向不管），所以這可能是監理上的盲點。其實本人並不贊成以第三人擔保的方式介入商業行為，這只會使商 業信用更無法建立。不過，既然主管機關早已動用消保法第17條建立機制，就不應被表面的名稱或費用名目所惑，千萬不要讓會員卡的名稱卡住了公務員的腦袋， 更不應僅因一定金額以下就豁免該機制的適用，尤其是所謂5萬元的門檻，結果造成沒有俱樂部會受到規範，豈非滑稽。
最後回到基本面，英國金融時報專欄作家Michael Skapiner曾說：「健身俱樂部事實上不可能容納所有會員，其經營哲學是期望數以千計的會員繳錢後就不再出現。」話雖偏激，但反映多數的俱樂部並未精算其最適規模與財務比率，預收款的運用也未適當控管。其實這才是主管機關應關心之所在，目前訴諸「第三人擔保」的思維，只是再一次被卡住腦袋而已。
